Terms of Service
Effective date: October 24, 2025
Welcome to Menturi. These Terms of Service (“Terms”) govern your access to and use of the Menturi platform, websites, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Acceptance
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
- Your use of the Service is also subject to our Privacy Policy.
2. Description of the Service
Menturi provides:
- Multi‑AI chat where users can interact with multiple AI models at once
- Team messaging and collaboration in workspaces
- Knowledge base features, including file uploads, search, and retrieval‑augmented answers
- Optional “bring‑your‑own‑key” connections to third‑party AI model providers (BYOK)
- Optional integrations and third‑party processors for search/indexing, embeddings, and model inference
Menturi may change or discontinue features, impose limits, or introduce new features at any time.
No Professional Advice. Model outputs and content provided through the Service are for informational purposes only and may be inaccurate or incomplete. They are not legal, medical, financial, or other professional advice.
3. Accounts and Workspaces
- You must provide accurate account information and keep your credentials confidential. You are responsible for all activity under your account.
- Workspaces: If you join a workspace, your access is controlled by workspace administrators, who can manage members, roles, retention, exports, integrations, and billing. Your organization’s policies may apply to your use.
4. Your Content and License to Menturi
- “Content” means any data you submit or generate via the Service, including chats/messages, files, knowledge base uploads, prompts, and model outputs.
- Ownership: You retain ownership of your Content.
- License to Menturi: You grant Menturi a worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, display, and create reasonable derivatives (e.g., embeddings, indexes, transient prompts) of your Content solely to provide, maintain, secure, and improve the Service and to comply with law.
- Sub‑processors: You authorize Menturi to engage vetted sub‑processors to provide the Service, subject to contractual safeguards.
- Training: We do not use customer Content to train foundation models by default. If an opt‑in is offered, we will present a clear choice.
5. Model Outputs and Usage
- AI outputs may be non‑deterministic and can include errors or bias. You are responsible for evaluating outputs, including for accuracy, legality, and appropriateness for your use case.
- Subject to third‑party rights and applicable law, we assign to you any rights we may have in model outputs generated from your prompts in your workspace, solely for your lawful use of the Service.
- Do not use outputs in ways that violate law or third‑party rights (e.g., IP, privacy, publicity).
6. Bring‑Your‑Own Keys (BYOK) and API Credentials
- You may connect your own API keys to third‑party AI providers. You represent that you have the rights to use those keys and will comply with the provider’s terms.
- Storage & Use: Keys are stored encrypted and used only to process your requests. We log minimal metadata (e.g., timestamp, endpoint) for security and rate‑limiting.
- Provider Terms Apply: When using BYOK, processing, retention, and training settings for data sent with your key are governed by your agreement with that provider. Menturi is not responsible for that provider’s independent handling.
7. Third‑Party Services and Integrations
- Some Service functions (e.g., search/indexing, embeddings, model inference, file storage, analytics, email delivery) are provided by third‑party processors under contract with Menturi. We send only the minimum Content required for the requested feature.
- If you enable integrations or connect external services, you authorize Menturi to exchange data with those services as necessary. Their terms and privacy policies apply to their handling.
8. Acceptable Use
You may not, and may not permit others to:
- Violate any law, third‑party rights, or these Terms
- Upload, generate, or share Content that is illegal, infringing, deceptive, harassing, hateful, threatening, exploitative, or that contains malware or security threats
- Attempt to bypass security, misuse credentials, probe or test system vulnerabilities, or overload the Service
- Use outputs or the Service to build, train, or improve competing models/services without our prior written consent
- Scrape, copy, or reproduce substantial portions of the Service except as permitted by law
- Send spam or engage in fraud, doxxing, or unauthorized surveillance
- Use the Service for high‑risk or safety‑critical purposes where failure could lead to death, personal injury, or severe environmental or property damage
- Export or re‑export the Service in violation of applicable sanctions/export control laws
Menturi may suspend or terminate accounts for AUP violations.
9. Fees, Billing, and Trials
- Some features require a paid subscription or usage‑based fees. Prices, features, and limits may change with prior notice where required.
- Subscriptions renew automatically unless canceled before the renewal date. You authorize Menturi to charge your payment method for recurring fees, usage/overages, and taxes.
- Trials and promotional offers are subject to their stated terms and may convert to paid plans if not canceled.
- Refunds: Unless our posted refund policy states otherwise, fees are non‑refundable once a billing period begins.
10. Service Availability and Support
- We use commercially reasonable efforts to provide reliable Service and may perform maintenance (scheduled or emergency). Features may vary by plan.
- Enterprise SLAs and support commitments apply only if agreed in a separate written contract.
11. Intellectual Property
- Menturi IP: The Service, software, documentation, interfaces, and branding are owned by Menturi or our licensors and are protected by IP laws. No rights are granted except as expressly stated.
- Feedback: If you provide ideas or suggestions, you grant Menturi a perpetual, worldwide, royalty‑free license to use them without restriction or compensation.
12. Confidentiality
- “Confidential Information” means non‑public information disclosed by a party that is marked or should reasonably be understood as confidential. Each party will use the other’s Confidential Information only to perform its obligations under these Terms and will protect it with reasonable care.
13. Privacy
- Our collection and use of personal data are described in our Privacy Policy. For enterprise customers, additional data protection terms may be set out in a Data Processing Agreement (DPA).
14. Term, Suspension, and Termination
- These Terms remain in effect until terminated. You may stop using the Service at any time and may cancel your subscription per your plan’s terms.
- We may suspend or terminate your access for violations of these Terms, security risks, non‑payment, or to comply with law.
- Upon termination: your right to use the Service ends. We may delete or de‑identify Content after a reasonable period unless required by law or covered by an enterprise agreement. We recommend exporting needed data before termination.
15. Disclaimers
- THE SERVICE AND ALL CONTENT/OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
- MENTURI DOES NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ACCURATE, RELIABLE, ERROR‑FREE, OR UNINTERRUPTED, OR THAT SECURITY MEASURES WILL PREVENT ALL UNAUTHORIZED ACCESS.
16. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTURI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, MENTURI’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO MENTURI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
17. Indemnification
You will indemnify and hold harmless Menturi and its affiliates, officers, directors, and employees from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your Content or use of the Service (including outputs)
- Your use of BYOK and any breach of third‑party provider terms
- Your violation of these Terms or applicable law
- Your infringement or misappropriation of third‑party rights
18. Changes to the Service or Terms
- We may update these Terms from time to time. Changes take effect when posted, or as otherwise stated in the notice. Your continued use after the effective date constitutes acceptance.
19. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Estonia, without regard to conflict‑of‑law rules. Courts located in Estonia will have exclusive jurisdiction, except that either party may seek injunctive relief in any court with jurisdiction. Consumer‑specific mandatory rights and remedies remain unaffected where applicable.
20. Miscellaneous
- Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No Waiver: Failure to enforce a provision is not a waiver.
- Entire Agreement: These Terms (and any order form, enterprise agreement, or DPA if applicable) are the complete agreement regarding the Service and supersede prior understandings.
